SOMALATES® FACILITATOR TRAINING

TERMS & CONDITIONS

These Terms and Conditions apply to bookings for Somalates® Facilitator Training, instructor education programmes, workshops, certification courses and Continuing Professional Development (CPD) events delivered by Serendipity Wellness® trading as Somalates®.By booking a place, you confirm that you have read, understood and agree to these Terms and Conditions.

1. BOOKING

A place on a Somalates® training programme is secured once:payment has been received in full, unless an agreed payment plan is in place; andyou have received written confirmation of your booking by email.Places are limited and are allocated on a first-come, first-served basis.Your booking is personal to you and is subject to these Terms and Conditions.

2. ELIGIBILITY

Participants must:be aged 18 or over;hold an appropriate fitness, Pilates, movement, therapy or healthcare qualification where specified;hold a minimum of Level 2 Anatomy & Physiology certification or equivalent, unless otherwise agreed in writing;meet any additional prerequisite requirements stated on the relevant course or programme page.Serendipity Wellness® trading as Somalates® reserves the right to request evidence of qualifications or professional experience before attendance.Where a participant does not meet the published prerequisites, we reserve the right to decline or postpone their participation where reasonably necessary to maintain the safety and integrity of the programme.

3. COURSE FEES

All prices are stated in Pounds Sterling (£).Course fees include only those items specifically stated in the relevant course description or prospectus.Unless expressly included, the following remain the responsibility of the participant:travel;accommodation;meals and refreshments outside those specifically provided;personal equipment;other personal expenses.Any payment plan must be agreed in writing before the course begins.

4. CANCELLATION BY THE PARTICIPANT

Somalates® Facilitator Training involves advance commitments including venue hire, educator time, printed materials, manuals, certification resources, administration and limited course places.For this reason, cancellation charges may apply.

More than 30 days before the course

You may request cancellation in writing.A refund will normally be provided less a £50 administration charge, subject to any non-recoverable costs already incurred in relation to your booking.

15–30 days before the course

A refund will not normally be available.At Tracy Richardson's discretion, a transfer to a future Somalates® training date may be offered where your place can reasonably be filled.A transfer fee of £50 may apply.

Within 14 days of the course

A refund or transfer will not normally be available because of the short notice and the costs associated with the reserved training place.However, we will consider exceptional circumstances fairly and reasonably.

Failure to attend

Failure to attend without prior notice will normally be treated as a cancellation within the applicable cancellation period.Nothing in these Terms and Conditions affects any statutory rights you may have.Cancellation requests must be made in writing to:tracy@serendipitywellness.co.uk

5. TRANSFERS

Training places are personal to the participant.A place:may not be transferred to another individual without prior written agreement;may not be resold;may not be exchanged for another course without prior written agreement.Where a transfer to a future training date is agreed, the transfer remains subject to availability and any applicable transfer fee.

6. CHANGES OR CANCELLATION BY SERENDIPITY WELLNESS®

Serendipity Wellness® trading as Somalates® reserves the right, where reasonably necessary, to:change the venue;change the timetable;change the educator or trainer;postpone or reschedule a programme;make reasonable changes to programme content or delivery;cancel a course where circumstances make this necessary.Where a course is cancelled by us, participants will normally be offered either:an alternative training date; ora refund of fees paid for the cancelled training.Where a reasonable alternative date is offered, any decision to accept a transfer or request a refund will be communicated to participants.We will not normally be responsible for separately incurred travel, accommodation or other consequential costs, except where liability cannot lawfully be excluded.

7. ATTENDANCE & PROFESSIONAL CONDUCT

Participants are expected to:arrive on time;attend the full training programme;participate appropriately in practical activities;engage respectfully with educators, assessors and fellow participants;maintain professional behaviour throughout the programme;follow reasonable health, safety and venue requirements.Persistent disruptive, abusive, threatening, discriminatory or otherwise inappropriate behaviour may result in removal from the training without further participation in that session.Where serious misconduct occurs, participation in the wider certification programme may also be reviewed.

8. CERTIFICATION & ASSESSMENT

Attendance at Somalates® Facilitator Training does not automatically guarantee certification.To become a Somalates® Foundations Facilitator, participants must successfully complete all required elements of the certification pathway.Depending on the programme, this may include:pre-course learning;module learning checks;final theory assessment;practical teaching assessment;case study;reflective practice;any additional assessment requirements communicated as part of the programme.Certification will only be awarded where the required standard has been demonstrated.Where an assessment is not successfully completed, the participant may be offered an opportunity to undertake further study, receive feedback and/or be reassessed in accordance with the applicable assessment process.Certification does not grant the participant ownership of the Somalates® Method, intellectual property, trademark or training materials.

9. FACILITATOR LICENCE

Successful completion of the Somalates® Foundations Facilitator Certification does not transfer ownership of the Somalates® Method or any associated intellectual property.Subject to successful certification and continued compliance with these Terms and Conditions, the Facilitator is granted a personal, non-exclusive, non-transferable licence to deliver authorised Somalates® sessions using the Somalates® Method and approved Somalates® materials.The licence:belongs only to the certified Facilitator;cannot be transferred, sold or assigned;cannot be sublicensed;does not permit the Facilitator to train or certify other instructors;does not permit the Facilitator to create, sell or deliver Somalates® facilitator training or instructor education;does not permit the Facilitator to reproduce, distribute or commercially exploit the Facilitator Manual;does not permit substantial reproduction, adaptation or commercial exploitation of Somalates® frameworks, teaching materials or intellectual property;remains subject to compliance with Somalates® standards, professional requirements and current brand guidelines.The Facilitator may only represent themselves as an authorised Somalates® Facilitator while their certification and facilitator status remain valid and in good standing.

10. INTELLECTUAL PROPERTY

All intellectual property rights in the Somalates® Method and associated training materials are owned by Tracy Richardson and/or Serendipity Wellness®, or used under licence where applicable.Somalates® intellectual property includes, but is not limited to:the Somalates® Method;Somalates® frameworks;Somalates® Pathway™;Somalates® State Model™;Five Regulation Tools™;Movement Taxonomy;named Somalates® practices;Facilitator Manual;presentations;training videos;teaching notes;course content;assessment materials;diagrams;graphics;downloadable resources;class-planning systems;branding and associated materials.Certification does not transfer ownership of any of these rights to the Facilitator.

11. USE OF SOMALATES® MATERIALS

Unless expressly authorised in writing by Tracy Richardson or Serendipity Wellness®, participants and Facilitators must not:copy or reproduce Somalates® materials;distribute or share course materials with third parties;upload course materials to public or private online platforms;reproduce or distribute the Facilitator Manual;reproduce substantial portions of the Somalates® Method;teach Somalates® training content as their own;create derivative training materials based substantially on Somalates® intellectual property;adapt Somalates® frameworks for commercial use;sell, licence or otherwise commercially exploit Somalates® intellectual property;use Somalates® training materials to create or deliver another instructor education programme or qualification.Nothing in these Terms prevents a certified Facilitator from applying the knowledge and professional skills they have independently developed through their training, provided that doing so does not involve unauthorised reproduction or exploitation of Somalates® intellectual property.Permission for any use outside the authorised scope must be obtained in writing in advance.

12. SOMALATES® NAME & TRADEMARK

Somalates® is a registered trademark.Completion of Somalates® Facilitator Training does not grant ownership of the Somalates® trademark.Only Facilitators who have successfully completed the required certification and remain in good standing may advertise themselves as authorised Somalates® Facilitators.Use of the Somalates® name, logo, trademarks and associated brand assets must comply with the current Somalates® Brand Guidelines.The Somalates® name and trademark may not be used in a way that:suggests ownership of the Somalates® brand;implies accreditation or endorsement that has not been granted;suggests that the Facilitator can train or certify other Facilitators;misrepresents the scope of the Facilitator's certification.

13. PROFESSIONAL PRACTICE, SCOPE & SAFETY

Somalates® Facilitators provide movement education and facilitation.Somalates® certification does not authorise a Facilitator to:diagnose medical or psychological conditions;provide medical treatment;provide psychological therapy;claim to treat or cure medical or mental health conditions;work outside their existing professional qualifications or competence.Facilitators remain responsible for working within:their existing professional qualifications;their competence;their professional insurance;relevant legal and professional requirements;the scope of their professional practice.Facilitators should refer participants to an appropriate qualified professional where a situation falls outside their competence or scope of practice.

14. PHOTOGRAPHY, VIDEO & MEDIA

Photography and/or video may be taken during Somalates® training for educational, administrative or promotional purposes.Where identifiable photography or video is intended for promotional use, appropriate information and/or consent will be provided in accordance with applicable data protection requirements.If you do not wish to appear in promotional photography or video, please notify the trainer as soon as reasonably possible and, where possible, before the training begins.Where training sessions are recorded for educational or assessment purposes, participants will be informed of the recording and its intended use.

15. HEALTH & PARTICIPATION

Participants are responsible for informing the trainer of any relevant injury, illness, medical condition, disability or other circumstance that may affect their safe participation in practical training.Participants should only undertake practical activities where they consider themselves fit and able to participate safely.Somalates® Facilitator Training is educational and does not constitute medical treatment, diagnosis or individual clinical advice.Participants are responsible for seeking appropriate medical or professional advice where necessary.

16. LIABILITY

Nothing in these Terms and Conditions excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.Subject to this, Serendipity Wellness® will not normally be responsible for:loss of earnings;loss of business;indirect or consequential loss;travel expenses;accommodation expenses;other costs arising from a participant's decision to attend or from a change, postponement or cancellation of training.Nothing in these Terms affects your statutory rights.

17. PROFESSIONAL STATUS & COMMERCIAL SUCCESS

Completion of Somalates® Facilitator Certification does not guarantee:employment;client numbers;income;business growth;commercial opportunities;financial return;successful delivery of Somalates® sessions.Each Facilitator is responsible for their own business activities, professional insurance, pricing, marketing, tax obligations and compliance with applicable laws and professional requirements.

18. FACILITATOR STATUS, SUSPENSION & WITHDRAWAL

Somalates® reserves the right to review a Facilitator's status where there is a serious or material concern relating to:misuse of Somalates® intellectual property;unauthorised use of the Somalates® trademark;misrepresentation of certification or competence;serious professional misconduct;conduct that materially damages the integrity or reputation of Somalates®;significant breach of these Terms and Conditions;failure to comply with applicable Somalates® standards or brand requirements.Where appropriate, the Facilitator will be informed of the concern and given an opportunity to respond before a decision is made, except where immediate action is reasonably necessary to protect participants, intellectual property, the Somalates® brand or other legitimate interests.Where facilitator status is suspended or withdrawn, the Facilitator must immediately cease representing themselves as an authorised Somalates® Facilitator and cease any use of Somalates® materials or branding that is no longer authorised.

19. DATA PROTECTION

Personal information will be collected and processed in accordance with the Somalates® Privacy Policy and applicable UK data protection law.Our Privacy Policy explains:what personal information we collect;why we collect it;how it is used;how long it is retained;who it may be shared with;the rights available to individuals.Where we process health information or other special category data, we will do so only where permitted under applicable data protection law.The Data (Use and Access) Act 2025 is now fully in force alongside the UK GDPR and Data Protection Act 2018, so your Privacy Policy and actual data practices should remain aligned with the current ICO requirements. (ICO)

20. CONFIDENTIALITY

Participants may receive information during training that is intended for the education of Somalates® Facilitators and is not intended for public distribution.Participants agree not to knowingly disclose or distribute confidential training information, assessment materials, private participant information or commercially sensitive information belonging to Somalates®, Serendipity Wellness® or other participants.This does not prevent a participant from making a lawful disclosure where required by law or exercising their legal rights.

21. FORCE MAJEURE

Serendipity Wellness® and Somalates® will not normally be liable for delay, postponement or cancellation caused by circumstances beyond reasonable control, including:severe weather;venue closure;illness;government restrictions;pandemic-related restrictions;industrial action;major technical failures;natural disasters;other events beyond reasonable control.Where reasonably possible, an alternative date or appropriate alternative arrangement will be offered.

22. GOVERNING LAW

These Terms and Conditions are governed by the laws of England and Wales.Where permitted by law, the courts of England and Wales shall have jurisdiction over disputes arising in connection with these Terms.Nothing in this clause affects any mandatory legal rights you may have.
